Registering a company in Spain is not difficult, but it is sequential. Six steps, each producing the document the next one needs, across four different institutions that do not talk to each other. Nothing can be rushed past the step in front of it, which is why a process that looks like three weeks on paper reliably takes two to three months in practice.

The Spanish company you almost certainly want is the sociedad de responsabilidad limitada — the SL. It is the equivalent of a UK Ltd, a German GmbH or a US LLC, it has a low minimum capital, and it is what the overwhelming majority of foreign-owned businesses in Spain use.

What company registration in Spain involves.

Step 01
NIE for shareholders and the administradorThe foreigner identification number every non-resident involved in the company needs. Obtained through a Spanish consulate or in Spain. Two to six weeks, and the step that gates everything after it.
Step 02
Name reservationA certificate from the Central Commercial Registry confirming your chosen company name is free. Two to seven days. We submit alternatives so a rejection does not restart the clock.
Step 03
Power of attorney, if you are not travellingExecuted before a notary in your own country, apostilled and sworn-translated into Spanish. One to four weeks depending on the country. This is what makes the whole process remote.
Step 04
Notarial deed of incorporationThe escritura and the bylaws, signed at a Spanish notary by you or by proxy. Share capital arrangements settled beforehand. One to two weeks to a slot.
Step 05
Commercial Registry inscriptionThe deed is lodged at the provincial Registro Mercantil and the company becomes fully constituted. One to four weeks depending on the province.
Step 06
Tax activation and bankingDefinitive NIF, Modelo 036 with correct activity codes, VAT and intra-community registration, digital certificate, and an operating bank account. Four to eight weeks — the real critical path.
The distinction that catches everyone

A registered company is not yet a working company.

Steps one to five give you a legal entity. Step six is what lets it invoice, charge VAT, get paid and be taken seriously by a Spanish counterparty. Providers who quote you "your company in three weeks" are quoting step five and letting you discover step six on your own.

What it costs.

Our fee is fixed and agreed before we begin. Official third-party costs — notary, registry, translations, apostille — are confirmed to you in writing at the start and are not marked up.

The share capital is not a cost. It is your money, contributed to the company you own, and it remains available to the business as working capital once the account is operational.

Build your own scope
Pick what you need. See what it costs to actually trade.

Most quotes you will get cover the deed and the registry, and stop there. Tick what your company genuinely needs and this shows the whole picture: our fee, the official costs we pass through at cost, and the capital that stays yours. Nothing is sent until you press the button.

Always included

Prefer everything decided in advance? The three fixed packages below are 2,700, 4,450 and 6,350 euro, payable at checkout with the scope already set. This builder is the other route: an individually quoted brief from 1,500 euro, which suits you when a package is more than you need or less.
Why we will not put a single number here. Two companies with the same activity can differ by a factor of three on documents alone, depending on how many shareholders there are and which country their papers come from. A number invented now would be wrong by the time you accepted it, and we would rather quote once and hold it.

Three levels of scope. One fixed fee, built on yours.

The levels map onto the two milestones above. Essential brings the company into existence. Operational makes it able to trade. Full Launch adds structure review, banking support and onboarding. Two ways to buy, and the difference is only how much is decided in advance. Pick a package and the price is the price: 2,700, 4,450 or 6,350 euro, payable now, scope fixed. Or build your own scope above and we quote it individually from 1,500 euro — that floor is for a narrow brief, and it rises with what you add. If your ticks add up to more than a package, we will tell you to take the package.

Which structure do you need?

SA — sociedad anonima€60,000Larger operations, regulated activities, plans to raise or list. Rarely needed at entry.
Sucursal — branchNoneAn extension of the foreign company, not a separate entity. The parent carries the liability.
AutonomoNoneA person, not a company. Suits individual freelancers; no liability separation.

What happens after registration.

Registration is the beginning of the obligations, not the end of them. We say this before you buy rather than after, because the companies that get into difficulty in Spain are almost never the ones that were incorporated badly — they are the ones that were incorporated and then left alone.

Quarterly and annual filingsVAT, withholding and corporate income tax to the tax authority, on a fixed calendar. A dormant company files too.
02
Accounts at the Commercial RegistryBooks legalised by April, accounts approved within six months of year end and deposited within a month. Missing this can close your registry page.
03

Four institutions, in Spanish, in sequence

Consulate appointments, a notary who will not explain the deed in English, a registry that rejects filings for formal defects, activity codes that stall your bank application, and no single person accountable when a step fails.

Frequently asked
How do I register a company in Spain as a non-resident?
The process is the same as for a resident, with two additions: every non-resident shareholder and the administrador needs a NIE, and if you are not travelling to Spain the deed is signed by proxy under a power of attorney executed before a notary in your country, apostilled and sworn-translated. Nothing about non-residence prevents you from owning a Spanish company outright.
How long does company registration in Spain take?
Six to ten weeks for the company to exist and be inscribed at the Commercial Registry, from a complete document set. Add four to eight weeks for the definitive NIF, tax activation and a working bank account. Plan around the second figure, because that is when the company can actually trade.
How much does it cost to set up a Spanish SL?
Our fee starts at €1,500 for an individually quoted brief, and the three fixed packages are 2,700, 4,450 and 6,350 euro. On top of either sit official costs — notary, Commercial Registry, name reservation and, where documents come from abroad, apostille and sworn translation. These are confirmed to you in writing before we start and are not marked up. Share capital is not a cost either way: it is yours and stays in the company. The legal minimum is one euro, with the reserve and liability conditions set out in the FAQ below.
Do I need to travel to Spain?
No. The entire process can be completed remotely using a power of attorney executed before a notary in your own country. That document needs an apostille and a sworn translation, which is why it belongs at the beginning of the timeline rather than the middle.
What is the minimum share capital for an SL?
One euro. Ley 18/2022 amended article 4 of the Ley de Sociedades de Capital, and the old 3,000 euro floor is gone. Two conditions replace it while your capital stays below 3,000 euro: at least 20 per cent of profit goes to the legal reserve until reserve plus capital reaches 3,000, and on liquidation the shareholders are jointly liable for the difference between 3,000 and the capital actually subscribed. The old formación sucesiva regime in article 4 bis was abolished at the same time. So a one-euro company is lawful, and in practice banks and counterparties read a token capital as a signal, which is why the number is a commercial decision rather than a legal one.
Can you open the bank account too?
We prepare and present the file — corporate documents, ownership chain, business narrative and expected flows — and accompany the application, which is what determines the outcome. No adviser can guarantee an account, because the decision belongs to the bank's compliance function. What we can do is make sure the file does not fail for avoidable reasons, which is why most of them do.
Which activity codes should my company use?
CNAE and IAE codes are declared on the Modelo 036 and they matter more than they look: the wrong code can stall VAT registration and banking, and correcting it afterwards is slower than getting it right. We select them with you based on what the company will actually do, not on the closest-sounding label.
Do I need a Spanish resident director?
No, a non-resident can be administrador. But the choice has consequences for banking, for how the company is perceived and, in some structures, for tax residence and permanent establishment analysis. It is worth deciding deliberately rather than by default.
Timeframes and costs are indicative for a straightforward SL with complete documents, and vary with shareholder nationality and residence, the province of registration, the activity and the bank. Official fees are set by third parties. General information, not legal or tax advice; your specific structure should be reviewed before filing.
